WALTHAM, MA - The Board of Directors of the Ethics Officer Association (EOA) has announced Keith T. Darcy as Executive Director. The Ethics Officer Association is the largest organization of ethics and compliance officers in the world, with more than 1,000 members in North and South America, Europe, Asia and Australia.

"We are delighted to welcome Keith as our Executive Director. He has a long history with the Ethics Officer Association, having served as a director more than a decade ago," said Gretchen A. Winter, chairman of the board of EOA, and vice president and counsel for business practices at Baxter International Inc. "In addition to his distinguished career as a top executive, board member and educator, he has provided leadership to the EOA and the ethics movement by helping us define our profession."

According to Darcy, "Over the past decade, the Ethics Officer Association has become recognized as the premier ethics organization in the U.S. and the world, providing ethics and compliance executives across five continents with practical tools and an unparalleled network of professional support. Given the events of the past several years, however, our work is far from done. The challenges of doing business in an ever-changing global community, along with heightened legislative, regulatory and prosecutorial risks, demand that we expand our programs and services for our existing and prospective members to meet their needs. It is a privilege to lead this extraordinary organization."

Prior to joining the Ethics Officer Association, Darcy served in a variety of roles in the financial services industry and in academia, focused on business ethics, corporate governance and organizational leadership. Darcy served as executive vice president and a member of the Office of the President of IBJ Whitehall Bank & Trust Company (IBJW), in New York City.

Earlier, Darcy helped a major securities firm establish its first ethics office, and the first among Wall Street firms, in conformance with standards promulgated by the U.S. Sentencing Commission, and under the direction of a federal monitor. For fourteen years he was a senior executive at Marine Midland Bank, N.A. (now HSBC) where he headed both consumer banking and corporate finance groups and was a key advisor to the president of Marine Midland Bank. Darcy also served as chief executive officer of IGM, an insurance company jointly owned by General Reinsurance Corporation and Frank B. Hall & Company, and served as CEO of a related derivatives trading company.

Darcy serves on the board of directors of E*Trade Bank, where he is a member of the Audit Committee and chairs the Governance Committee. He is also a director of New York National Bank, where he serves on the Audit and Compliance Committees. In addition Darcy is chairman of the board of the Better Business Bureau Foundation, where he chairs the Audit Committee.

Darcy teaches Ethics & Leadership in the executive programs at The Wharton School, University of Pennsylvania, as well as at INSEAD in France and Singapore. In addition, Darcy is a teaching fellow at the R.H. Smith School of Business, University of Maryland, and Executive-in-Residence at Manhattanville College, Purchase, NY. Darcy also is an Executive Fellow of the Center for Business Ethics at Bentley College in Waltham, Mass., and moderates programs at The Aspen Institute. He previously served as Associate Dean and Distinguished Professor of Business at Georgetown University's McDonough School of Business.

Darcy holds a B.S. degree from Fordham University's College of Business, an M.B.A from the Hagan Graduate School of Business at Iona College, and has done additional post-graduate study at New York Theological Seminary.

The Ethics Officer Association (EOA) is a non-consulting, member-driven association exclusively for individuals who are responsible for their company's ethics, compliance, and business conduct programs.
