Corporate governance has grown increasingly important and challenging as directors respond to the dynamic economic, political, cultural and regulatory environment in which today’s companies operate. To help business leaders respond to this challenge, the Boston College Law School and the Center for Corporate Citizenship at the Carroll School of Management are presenting the second annual Directors' Intensive Program on Corporate Governance, June 20, on the Boston College campus.

Board directors are being held more accountable than ever before and are expected to understand and fulfill their fiduciary duties with the rigor and wisdom necessary to both ensure legal compliance and promote sustainable, long-term value. The Directors’ Intensive Program on Corporate Governance is designed to help directors and executive leaders perform their duties of oversight at the highest level.

The program provides perspectives and knowledge from leading practitioners and scholars about current and emerging issues and practices in corporate governance. It will be relevant to both new and continuing directors, as well as those executives responsible for supporting the board and for leadership decision-making for their firms.

Noted experts from business, law, finance, and academia, will contribute to the program, including keynote speaker Frank Partnoy, bestselling author of "Wait! The Art and Science of Delay" and "F.I.A.S.C.O., Blood in the Water on Wall Street", and Robert Khuzamidirector of the Division of Enforcement of the U.S. Securities and Exchange Commission. A full list of speakers is available on the Center for Corporate Citizenship website.

The Directors’ Intensive Program on Corporate Governance will offer valuable support to corporate leaders who recognize that the best companies achieve excellent performance and reputation by effectively managing risk that may emerge from a shifting operating and regulatory context, and create sustained value over the long-term by aligning business strategies with changing circumstances. Topics in this full-day program will include:

  • Emerging regulation of directors’ duties, especially under the Dodd-Frank Wall Street Reform and Protection Act of 2010 and the Foreign Corrupt Practices Act
  • Managing intellectual property rights in the U.S. and across international borders
  • Managing labor pools in a global economy
  • Balancing the long- and short-term views on building enduring shareholder value
  • Benefits and risks of pursuing corporate interests through participation in the political process post the Citizens United Supreme Court decision

The Directors Intensive Program on Corporate Governance will be held in Fulton Hall at the Boston College Carroll School of Management, Chestnut Hill, Mass., June 20, 2012, 8 a.m. to 5 p.m. Registration fee includes program admission, course materials, continental breakfast, lunch, breaks, and closing reception.
